Terms of Service

1. Agreement

By creating an account or using LabFlow, you agree to these Terms of Service ("Terms") with NextLabs ("we", "us"). If you are using LabFlow on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The service

LabFlow is a laboratory information management platform (LIMS/ELN) provided as a software-as-a-service. We grant you a non-exclusive, non-transferable right to access and use the platform during your subscription period, subject to these Terms.

3. Accounts

• You must provide accurate information when creating an account.
• You are responsible for maintaining the security of your credentials.
• You must be at least 18 years old to use the service.
• One account per person. You may not share accounts.

4. Free trial

New accounts receive a 7-day free trial with full access to all features. A valid payment method is required at signup. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription begins automatically at the published rate. You may cancel at any time from the billing portal during the trial with no charge.

5. Billing

• Subscriptions are billed monthly in advance via Stripe.
• Pricing is €49/month base + €25/seat/month.
• Seat counts are adjusted at the start of each billing period.
• All prices are in EUR and exclude applicable taxes (VAT may apply based on your location).
• Failed payments result in a grace period; continued failure leads to account suspension.

6. Cancellation

You may cancel at any time from the billing portal. Cancellation takes effect at the end of the current billing period. You retain access until then. We do not offer prorated refunds for partial months except where required by law — see our Refund Policy .

7. Your data

You own all data you upload or create in LabFlow. We do not claim any rights to your lab data. Upon account deletion, you may export your data. We will delete all data within 30 days of account closure.

8. Acceptable use

You may not use LabFlow to:

• Violate any applicable law or regulation.
• Upload malicious code or attempt to compromise the platform.
• Reverse-engineer, resell, or sublicense the service.
• Impersonate another person or organization.
• Use the service in any way that harms other users or third parties.

9. Service availability

We target 99.5% uptime. Planned maintenance will be communicated in advance. We are not liable for downtime caused by third-party infrastructure (Cloudflare, Stripe, Neon) or events outside our control.

10. Limitation of liability

To the fullest extent permitted by law, NextLabs' total liability for any claim arising from these Terms or the service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages (including data loss, loss of profits, or business interruption).

11. Termination

We may suspend or terminate your account if you materially breach these Terms, after notice where reasonably practicable. You may delete your account at any time from the account settings.

12. Governing law

These Terms are governed by French law. Disputes shall be subject to the exclusive jurisdiction of the courts of Paris, France, except where mandatory consumer protection laws in your country of residence apply.

13. Changes

We will notify you by email of material changes at least 14 days before they take effect. Continued use after that date constitutes acceptance.
